C. John Wilder

Chairman and Chief Executive Officer, TXU Corp.

C. John Wilder, 49, is chairman of the board and CEO of TXU Corp., one of the nation's largest electric energy companies. A top-ranked leader in the power and energy industry, Wilder joined TXU in early 2004 as the first external CEO in the company's 120-year history. He was elected chairman in May 2005. His energy and vision have spearheaded a total financial and operational turnaround that has transformed TXU from a regulated monopoly at the bottom quartile in many financial and operating metrics to top quartile in financial performance, operational excellence and market leadership. Today, TXU is a high-performance business that can compete with the best industrial companies. Under Wilder's leadership, TXU has ranked seventh best out of the S&P 500 and delivered 70 percent annualized returns to shareholders.

Wilder started in the energy business in Texas more than 25 years ago with the Royal Dutch/Shell Group of companies. After serving as chief executive officer of Shell Capital in London, he was hired in 1998 as chief financial officer at Entergy Corporation and was a member of the senior management team that returned 18 percent annualized shareholder returns and earned the company the Platts Global Energy Company of the Year award in 2003.

Institutional Investor magazine has ranked Wilder as the best CEO in the electric power sector three times, one of the ten best CEOs in America and a top CFO for leading two of the most successful turnarounds in the power industry. He has been a runner-up for CBS MarketWatch's CEO of the year and honored for best investor relations by Investor Relations Magazine.

Within days of his arrival as TXU's CEO, Wilder launched an initiative to drive customer service from moribund to leading. The result was a dramatic drop in call-answer time within six months, with average wait times decreasing from an average of almost five minutes to 15 seconds or less, a world-class level in any industry. Today, call-answer times average a consistent 11 seconds. A market-leading retail strategy has also benefited customers with the broadest set of products of any retailer in Texas, a 10 percent price cut for most residential customers and the lowest-priced products that incumbents offer in their home territories. Assuming TXU's planned merger with KKR-TPG closes, an additional five percent price reduction will provide a combined annual savings of $400 million for most residential customers.

Another early action as CEO was bolstering TXU's leadership in low-income social advocacy with a pledge to provide $15 million over three years to TXU Energy Aid, the company's flagship assistance program. That funding has helped more than 100,000 families in temporary financial need pay their electricity bills. Since 2004, TXU has committed over $40 million to help families through discounted electricity prices and bill-payment assistance, including funding up to $25 million in 10 percent discounts on electric bills to over 85,000 TXU Energy low-income customers who previously qualified for LITE UP Texas. TXU Energy is the only retailer that has consistently provided this discount since the program's funding was redirected by the Texas Legislature in 2005. Under Wilder's direction, the company has also increased its investment in programs that help customers use energy more efficiently to a level averaging $46 million annually.

Wilder's drive has transformed TXU's operational performance. TXU has a long legacy of on-the-job safety, but Wilder has inspired employees to reach even higher performance, achieving the safest years in the company's history. His creativity has also applied lean concepts and continuous improvement to the power industry for the first time. Through application of the TXU Operating System, the company's solid-fuel power generation fleet, consisting of its lignite and nuclear plants, has improved each year of the turnaround, achieving its highest annual production in 2006. TXU is also transforming its transmission and distribution network into the nation's first broadband-enabled electric smart grid, dramatically enhancing its ability to use automated meter reading and other technologies to improve on reliability that is already top quartile and allow customers to better manage electricity use.

One of Wilder's special passions is United Way. Under his leadership, each campaign has been award winning, record setting and goal surpassing, providing over $5.4 million back to TXU's communities. Campaign contributions have tripled, the total employee gift has virtually doubled and membership in the United Way Tocqueville Society, whose members contribute $10,000 or more annually, has increased almost 15 fold. Wilder was named CEO of the Year for the success of TXU's 2005 United Way campaign. That same leadership garnered TXU the organization's Spirit of Caring award for the 2006 campaign.

Active in community service and professional organizations throughout his career, Wilder is a member of the Edison Electric Institute and National Petroleum Council among other key organizations. He is especially committed to promoting higher education and is on the advisory bodies of the McCombs School of Business at the University of Texas at Austin, the Global Energy Management Institute at the University of Houston and the A.B. Freeman School of Business at Tulane University. While at Entergy, he helped found the Entergy-Tulane Energy Institute, a center dedicated to studying the energy industry and related environmental issues. His personal philanthropy also includes establishment of a family foundation for at-risk children and families, support of youth sports camps and active membership in the United Methodist Church.

TXU has been honored with many additional major awards during Wilder's tenure. TXU is one of only two companies to be named one of America's five Most Admired companies in the Energy sector for three consecutive years by Fortune magazine. The company's outstanding land reclamation program won the Department of Interior's 2006 Director's Award, the mining industry's highest honor, as well as honors from the Interstate Mining Compact Commission and Railroad Commission of Texas. Other recent awards include the National Arbor Day Foundation's Tree Line USA Utility Award, the EPA's ENERGY STARĀ® Sustained Excellence Award and the Women's Business Enterprise National Council's America's Top Corporations for Women Business Enterprises Award.

A native of Missouri, Wilder graduated magna cum laude from Southeast Missouri State University with a bachelor's degree in business administration. He was recently awarded the university's Distinguished Alumni Award. He also earned a master's degree in business administration from the University of Texas. He and his wife have three children, and they live in Dallas.
