    The company has declared common stock dividends payable in cash in each year since its incorporation in 1945. At its February 2001 meeting, the Board of Directors declared a quarterly dividend of 60 cents per share. This regular quarterly dividend is payable April 2, 2001, to shareholders of record on March 9, 2001. Dividends are paid in cash to shareholders who are not participating in the Direct Stock Purchase and Dividend Reinvestment Plan; all dividends are reportable for federal income tax purposes as ordinary dividend income.

    2001 ANNUAL MEETING
    The Annual Meeting of Shareholders of the company will be held at 9:30 a.m. on Friday, May 11, 2001, in the Dallas Ballroom of the Adam's Mark Hotel, 400 North Olive Street, Dallas, Texas. Shareholders are cordially invited to be present at the annual meeting. Whether or not you will be able to attend, please complete and return your proxy so that you will be represented at the meeting. The notice of the meeting, proxy statement, and form of proxy are being mailed or given to shareholders on or about March 26, 2001.
